These Terms and Conditions ("Terms") govern your access to and use of the services provided by Referralit.com ("Company," "we," "us," or "our"), including our website, AI-powered IT consulting platform, cybersecurity assessments, POAM services, IT procurement, and related offerings (collectively, the "Services").
By accessing or using our Services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Services
Referralit.com provides AI-augmented IT consulting services including but not limited to: cybersecurity assessments, Plan of Action and Milestones (POAM) documentation, NIST/CIS/CMMC compliance advisory, IT procurement support, lead generation services, and quarterly business reviews.
Specific services, deliverables, timelines, and fees will be defined in a separate Statement of Work (SOW) or Service Agreement executed between the parties.
2. Account Registration
To access our platform and Services, you must create an account. You agree to:
Provide accurate and complete registration information
Keep your login credentials confidential
Notify us immediately of any unauthorized account access
Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts found to be in violation of these Terms.
3. Payment Terms
All fees are outlined in your Service Agreement or SOW.
Invoices are due within 30 days of the invoice date unless otherwise agreed.
Late payments may incur a 1.5% monthly interest charge on the outstanding balance.
We reserve the right to suspend Services for accounts with overdue balances.
All fees are non-refundable unless explicitly stated in your Service Agreement.
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement, including but not limited to cybersecurity assessment results, POAMs, business strategies, and technical data.
This confidentiality obligation survives the termination of the service relationship for a period of three (3) years.
5. Intellectual Property
All methodologies, AI tools, frameworks, templates, and processes developed or used by Referralit.com remain the exclusive intellectual property of the Company.
Deliverables produced specifically for your organization (e.g., custom POAMs, assessment reports) are licensed to you for your internal use only. You may not resell, sublicense, or distribute these deliverables without written consent.
6. Client Obligations
You agree to:
Provide accurate and complete information necessary for service delivery
Grant our team reasonable access to systems, personnel, and data required to perform assessments
Comply with all applicable laws and regulations related to your use of our Services
Not use our Services for any unlawful or unauthorized purpose
7. Limitation of Liability
To the maximum extent permitted by law, Referralit.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising out of or related to your use of our Services.
Our total cumulative liability for any claims arising under these Terms shall not exceed the total fees paid by you in the three (3) months preceding the claim.
8. Disclaimer of Warranties
Our Services are provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness of our Services for a particular purpose.
Cybersecurity assessments and compliance guidance provided by our team are advisory in nature and do not guarantee regulatory approval or protection against all security threats.
9. Termination
Either party may terminate Services with thirty (30) days written notice unless otherwise specified in the Service Agreement.
We may terminate immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding invoices after written notice.
Upon termination, all outstanding fees become immediately due, and we will provide you with copies of your deliverables completed to that date.
10. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Dallas County, Texas, unless both parties agree otherwise in writing.
11. Changes to Terms
We reserve the right to update these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
12. Entire Agreement
These Terms, together with your Service Agreement or SOW, constitute the entire agreement between you and the Company. They supersede all prior negotiations, representations, or agreements, whether written or oral.
